Terms of Service for Creators.

Welcome to Circaly. By signing up as a Creator (also called Clipper) on circaly.com ("the Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.

1. What you do on Circaly

Circaly is a marketplace where Labels and Artists post music campaigns and pay Creators per 1,000 verified views their UGC posts earn. You browse campaigns in Discover, post a clip on TikTok, Instagram Reels, or YouTube Shorts using the song, and submit the URL. Verified views translate into earnings, which clear an escrow window and become available for cash-out.

2. Eligibility

You must be at least 18 years old to use Circaly.
You must own and control the social accounts you verify on Circaly.
You must comply with the Terms of Service of TikTok, Instagram, and YouTube.

3. Account Verification

You can only submit clips from social accounts you have verified on Circaly via our bio-code process. Multiple accounts per platform are allowed. Submissions from unverified accounts will be rejected automatically.

4. Submission Rules

Public posts only: The clip must be publicly accessible. Private accounts and draft posts cannot be submitted.
One URL = One campaign: A given clip URL may only be submitted to one Circaly campaign. Submitting the same URL across multiple campaigns is allowed only if the Label is informed and accepts.
Brief compliance: You must follow the Label's brief (do's and don'ts). Off-brief clips will be rejected.
Original posts: Reposting another Creator's clip without permission, or farming views via inauthentic engagement, is grounds for permanent ban.
Don't delete the post: If you delete the published clip from the social platform, all unpaid earnings on that submission will be voided. Already-paid earnings are honored.

5. Earnings & Escrow

CPM: You earn the campaign's stated CPM (cost per 1,000 verified views) for every 1,000 views Circaly's anti-bot systems verify.
48-hour escrow: Earnings sit in escrow for 48 hours after you submit. During this window the Label may reject the clip on legitimate grounds. After 48 hours without rejection, earnings clear and become withdrawable.
Verified vs. raw views: "Verified views" may differ from raw view counts on the social platform due to anti-bot filtering. Earnings are calculated on verified views only.
Disputes: If you believe a Label rejection was unjust, you have 24 hours to contest. Circaly admins serve as final arbiter and will rule within 48 hours (fast-track).

6. Cash-out

Minimum withdraw: $20 USD.
Methods: Wise (USD bank transfer) or USDC (crypto wallet on Ethereum/Polygon).
KYC: Before your first cash-out, you must complete identity verification (KYC) including a photo ID and a selfie. This is required to comply with anti-fraud and money laundering regulations.
Processing time: Manual processing currently. Wise typically lands in 1–3 business days; USDC typically within hours of approval.
Tax: You are responsible for reporting your earnings to your local tax authority. Circaly may issue annual statements (1099 in the US) when applicable.

7. Anti-Bot & Fraud

Circaly uses automated systems and manual review to detect inauthentic engagement (bot views, purchased likes, view manipulation). Submissions flagged by anti-bot are paused pending review. You may be permanently banned for:

Buying views, likes, or follows.
Coordinating engagement farms.
Submitting clips from someone else's account.
Repeated copyright violations or harassment.

Banned users may appeal in writing. Appeals are reviewed by Circaly admins; reinstatement requires proof that the flagged behavior was legitimate and a commitment to follow these Terms going forward.

8. Intellectual Property

You retain ownership of your clips. By submitting them through Circaly, you grant Circaly and the Label a worldwide, non-exclusive, royalty-free license to display the clip URL, thumbnail, view counts, and your handle inside the Circaly platform for marketing, analytics, and trust signals. Your clips remain hosted on the third-party platform; Circaly does not host the videos.

9. Account Deletion

You may delete your Circaly account at any time. On deletion, your personal data (email, avatar, handle) is anonymized. Submission records and payout history are retained in anonymized form for financial audit and Label hist-orical reporting.

10. Limitation of Liability

To the maximum extent permitted by law, Circaly's aggregate liability to you shall not exceed the total earnings paid to you by Circaly in the prior 6 months. Circaly is not liable for losses due to third-party platform actions (TikTok bans, IG removals), eternalsocial outages, exchange rate fluctuations, or your own account mismanagement (wrong Wise email, lost wallet, etc.).

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved in the state or federal courts located in Delaware.

12. Changes to Terms

Circaly may modify these Terms at any time. Significant changes are notified via email and an in-app banner. Continued use after the effective date constitutes acceptance.
