Terms of Service for Labels.

Welcome to Circaly. By accessing or using circaly.com ("the Service") as a Label, Artist, manager, or authorized representative ("Label," "you," "your") to launch a campaign, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
1. Description of Service
Circaly is a marketplace that connects Labels with independent content creators ("Creators") who produce User-Generated Content ("UGC") featuring your music. Labels publish campaigns specifying a song, brief, cost-per-1k-verified-views ("CPM"), and a budget. Creators post clips on TikTok, Instagram Reels, or YouTube Shorts; verified views translate into earnings paid out by Circaly.
2. Intellectual Property
You retain 100% ownership of your music, master recordings, publishing, royalties, name, likeness, and album artwork ("Label Content"). By creating a campaign, you grant Circaly and the Creators who participate in that campaign a worldwide, non-exclusive, royalty-free license to:
- Display your song name, artist name, and artwork inside the Circaly platform.
- Allow Creators to use the song in UGC posts on third-party social platforms (TikTok, Instagram, YouTube) for the duration of the campaign and indefinitely thereafter (since posts may remain live on those platforms).
- Display campaign metadata, brief, and aggregate performance data publicly within the Service.
3. Representations and Warranties
By creating a campaign, you represent and warrant that:
- You are the legal owner of the song, or you have explicit written authorization from the owner to promote it through Circaly campaigns.
- The song does not infringe on any third-party copyrights, trademarks, or rights of publicity.
- The brief and campaign content do not contain hate speech, illegal acts, sexually explicit material, or content that violates the Terms of Service of TikTok, Instagram, or YouTube.
- You are at least 18 years old and (if representing a company) have authority to bind that company.
4. Campaign Approval
All campaigns submitted through Circaly require admin review before they appear in the Creator Discover feed. Circaly reserves the right to reject any campaign for any reason, including copyright concerns, brief quality, or platform policy violations. Campaigns rejected at admin review do not incur charges.
5. Billing, Fees, and Payments
- Budget: When you launch a campaign, you commit to spending up to the budget you set. Earnings paid to Creators are deducted from your budget as views are verified.
- Closed Beta — 0% platform fee: During the closed beta, Circaly waives its platform fee. 100% of your budget goes directly to Creators.
- Future fees: After the closed beta, Circaly will charge a platform fee (estimated 10–15% of total budget). You will be notified at least 30 days before any change.
- Payment processing: During closed beta, billing is handled manually. After closed beta, payment via Stripe Connect.
- Non-refundable: Once a Creator earns verified views and the 48-hour escrow window passes, those earnings are owed and non-refundable except in cases of fraud detected by Circaly's anti-bot systems.
6. Submission Review Window
You have 48 hours after each Creator submission to reject it on legitimate grounds (off-brief, low quality, brand mismatch). After 48 hours without rejection, the submission is considered approved and earnings clear escrow. Rejections require a written reason. If a Creator contests a rejection, Circaly admins serve as the final arbiter (see Section 9).
7. No Guarantee of Results
Circaly's marketplace connects you with independent Creators but cannot guarantee any specific number of views, streams, new fans, or commercial outcomes. Creator participation and viral performance depend on the song, brief quality, market conditions, and platform algorithms.
8. Third-Party Platforms
Posts created by Creators are published on third-party platforms (TikTok, Instagram, YouTube). Your use of Circaly is also subject to those platforms' Terms of Service and Community Guidelines. Circaly is not responsible for posts being removed, accounts being banned, or algorithmic performance issues caused by third parties.
9. Disputes & Anti-Bot
If a Creator contests your rejection, Circaly admins review the brief, the clip, your stated reason, and the Creator's response, and issue a final decision within 7 business days. If Circaly's anti-bot systems flag a submission as artificial, earnings on that submission are paused pending review.
10. Limitation of Liability
To the maximum extent permitted by law, Circaly and its founders, employees, and affiliates shall not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or royalties resulting from your use of the Service or the actions of Creators or third-party platforms. Circaly's aggregate liability shall not exceed the total platform fees (excluding budget paid to Creators) paid by you in the prior 6 months.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved in the state or federal courts located in Delaware.
12. Account Termination
You may stop using Circaly at any time. Circaly reserves the right to suspend or terminate Label accounts for breach of these Terms, fraudulent activity, copyright violations, or behavior harmful to Creators or the platform.
13. Changes to Terms
Circaly may modify these Terms at any time. Significant changes are notified via email and an in-app banner. Continued use after the effective date constitutes acceptance of the new Terms.
